I am pleased to make a brief contribution to the debate. As I did at earlier stages, I will restrict my comments to the disqualification of directors, which is the only aspect of the Bill that extends directly to Scotland.

The SNP supports the Bill. Our concerns are the same as those of the official Opposition: that much, much more is needed than is included. We need a much more comprehensive set of regulations, not so much to protect shareholders and directors as to protect customers, members of the public and investors from the scams that have all too often been committed by companies whose shareholders are the directors. A lot of company legislation was designed to protect investors against misaction or misconduct by company directors who are different people, but we are now looking at companies whose directors are the shareholders. They are not going to defraud themselves, but sometimes they may be willing to defraud others.

At earlier stages, I have repeatedly mentioned the conduct of a group of companies called Blackmore Bond and its directors Phillip Nunn and Patrick McCreesh. I will not go over even a fraction of their history, but why they were not at least investigated for disqualification long, long ago is beyond me. The Bill will not make it easier for such directors to be called to order, so we need legislation that fills in the gaps that are left.

As an indication of just how current such behaviour is, the BBC reported as recently as Monday that DialADeal Scotland Ltd has been fined £150,000 by the Information Commissioner’s Office for making more than half a million illegal marketing calls, many to numbers that had explicitly opted out of such calls. DialADeal Scotland Ltd used false business names in its marketing, which is illegal. It disguised the number that it was calling from so that people could not phone back to complain, which is also illegal. The calls were about non-existent green deal energy savings schemes. That is not a telecoms offence; it is fraud or attempted fraud, and very probably conspiracy to defraud.

The fine was decided in September 2021, but clearly the action by the Information Commissioner’s Office started before then. In May 2021, the directors of the company, Calum Mckay Kirkpatrick and Yvonne Mccuaig, applied to Companies House to place the company in voluntary liquidation—almost certainly with the sole purpose of avoiding the financial penalty that they knew was coming their way, because if the company were dissolved before the order was made, its directors would get off scot-free. Fortunately, the Information Commissioner’s Office was able to lodge an objection with Companies House and the voluntary strike-off action has been suspended.

The same two individuals, Kirkpatrick and Mccuaig, were also directors of DialADealUK Ltd, which was voluntarily dissolved in September 2018, immediately before DialADeal Scotland Ltd was created. Coincidentally, shortly after they had started the process of winding up DialADeal Scotland Ltd, they set up another company called Simple Lead Ltd. Not one of those companies has ever filed a set of accounts with Companies House; DialADeal Scotland’s accounts are now over a year out of date.

Why is it that company directors can repeatedly avoid any kind of scrutiny? As I have mentioned in relation to Nunn and McCreesh’s companies, they can go for years and years without filing the very limited information that they have to file at Companies House, which just does not seem able to keep up.

My hon. Friend makes a very good point about Companies House and its limitations. Does he share my concern that the UK Government just do not care enough about Companies House and the massive loopholes that they are leaving for people to be defrauded and company directors to get away scot-free with the wrong things that they are up to?

That would certainly be many people’s interpretation of how long it has taken the Government to take any firm action. We keep being promised a comprehensive review of company legislation; it cannot come quickly enough. I hope that we will finally see an end to the scandal of the creatures called Scottish limited partnerships, which are too often set up purely as a means to fund organised crime.

Companies House needs to be reformed and probably better resourced. As the Opposition spokesperson—the hon. Member for Manchester, Withington (Jeff Smith)—mentioned, the Bill may place additional demands on the resources of the Insolvency Service. We know that the Financial Conduct Authority needs another complete sorting out. Either it is not doing its job or it has not been asked to do the right job; it probably does not have the resources to deal with fraud on the scale that is now going on right under our nose.

Although I welcome the Bill and we will certainly not oppose it—we have supported it all the way through—we look for assurances from the Government that it is not the end of the road. It can only be allowed to be one tiny step towards finally stopping these people. I remember one of the witnesses who gave evidence to the Bill Committee describing the United Kingdom as becoming one of the go-to places of choice for international fraudsters. That is not a badge that any of us should bear with honour. If that badge is applied to the financial services industry, and to the business community in the United Kingdom generally, it will take years—decades—to get rid of and honest businesses will suffer desperately.

The Government have to start to act now. I do not know whether the Minister is in a position to tell us today when the comprehensive review of company regulation will come forward, but I certainly hope that we will see it very soon. As DialADeal’s example makes clear, even since we started our consideration of the Bill, further scams have been inflicted on innocent people throughout these islands.

I wish to speak briefly on a few issues that affect my constituents.

First, I heard the intervention earlier from the hon. Member for Cardiff South and Penarth (Stephen Doughty), who asked about the quantum of Barnett consequentials for Wales. The Secretary of State said that the Welsh Government have not devised a scheme for existing consequentials yet. This becomes a bit of a strange paradox, because it would be daft for a Government on a fixed budget to commit to spending more than they have, and they cannot plan for that. If a devolved Administration were to establish a scheme without the certainty that the money was coming, they would then be considered irresponsible. Therefore, it needs to be made clear what those additional consequentials are for the devolved Administrations.

The Scottish Government have proceeded on the basis of the £97 million allocated to the Scottish Parliament and have set up the Scottish Government single building assessment scheme, which prioritises by risk. I pay tribute to Kevin Stewart MSP who, as Minister, spearheaded much of this work. There have been more than 100 expressions of interest in the scheme, but in order to ensure that it reaches as far as it can, the consequentials have to be made absolutely clear so that the problem can be tackled.

Let me take the opportunity to pay tribute to those in my constituency who have championed their fellow residents, including Lisa Murray of the Verde Residents Group and Hector Thomson and Barry Cooper of the Lancefield Quay Residents Association. Hector and Barry told me of the difficulties that they have had in obtaining building insurance for the development of which they are a part. There are hundreds of flats in that development and their insurance was suddenly withdrawn on 23 December 2020, leaving them very worried over the Christmas period about what would happen.

Contrary to what the Secretary of State has said, there is a failure in the market. He mentioned Aviva, but my understanding is that it has a limit of £50 million, whereas for Lancefield Quay it is £75 million. I understand that Aviva also has a bar on commercial property as part of that. Sure enough, there is an Indian restaurant at the bottom of Lancefield Quay, which will be exempted from securing coverage if that is indeed the case.

I urge the Minister to solve that problem. People are being offered insurance that is comprehensive but entirely unaffordable—or just about affordable, but not for everyone; at Lancefield Quay there are some people who cannot afford the insurance payments—so they do not have the comprehensive coverage that they think they need. There are implications if someone proceeds without adequate coverage for their mortgage, I understand, so that their property is not properly insured. The Minister needs to look at those issues and find a solution, because this is not working at present, and the Bill does nothing to address that. I also urge the Minister to look at issues with VAT and building materials, because at the moment, the Government are profiting from the work that is being done and residents are not.

As a parent of three young children, I spend a long time in playgrounds and appreciate their importance to everybody in society. I think it is really important that councils take parks and playgrounds seriously. They may be a non-statutory duty, but they are a very important one to members of the public. We have now had two years of increases in council funding, which were voted on and supported by both sides of this House, so local councils have the resources, and they should prioritise open spaces as we come out of the pandemic.

My constituents in Lancefield Quay are among many who now cannot afford full insurance due to issues of cladding on their buildings. The Secretary of State mentioned earlier that he was working with the insurance industry. There is not a market solution to this; there is an impending market failure on his watch. What is he going to do about it?

I disagree with the hon. Lady, because a number of businesses have already brought forward market solutions—Aviva, for example, and I believe that E.ON is also doing so. It is extremely important that we in this House are united in putting pressure on the insurance companies, not simply asking the Exchequer to step in and bail out some of the most affluent and successful companies in the country. That is what we are trying to do, and we are seeing signs of progress.

My hon. Friend is absolutely right. My uncle was a postmaster. I remember him retiring and putting his savings into a post office in Leicestershire many years ago, pre-dating the knowledge of the Horizon situation. I wonder whether he would have done that again years later. That is why it is so important that we get these answers and get that settlement to give former postmasters justice. It is also really important—I know this is happening—that Post Office Ltd recalibrates its relationship with postmasters to ensure they feel a valued part of the company as well as the community, rather than distant stakeholders.

The last time the Minister came to the House, I asked him if full legal costs would be compensated. He said then that he would lean in on that and ensure everyone was adequately compensated. It may be that his idea of adequate may not be same as those affected, so I ask him again: will full legal costs be included in compensation packages?

I thank my hon. Friend for her question. I know that she is a champion for community services in her area. That is what the Post Office does—not only is it a business, but it adds social value, as Jay Patel and his family continue to do. That is why we need to get answers. That is why we need to get justice. It is to give existing and future postmasters the confidence that they can work in a great organisation that is offering that social value and supporting their communities.

Hundreds of postmasters running their local community businesses have had their lives and livelihoods turned upside down, and their reputations and their finances trashed. Will the Minister assure me, further to the question asked by my hon. Friend the Member for Motherwell and Wishaw (Marion Fellows), that full legal costs will be included in the compensation package to postmasters?

Indeed; all the decisions were taken independently, and that included rejecting Greensill from being able to access the higher level of loan facility, the only request for which came from the shadow Secretary of State for Defence, the right hon. Member for Wentworth and Dearne (John Healey).

I express my condolences, on behalf of the Scottish National party, to the family and friends of Cheryl Gillan and Shirley Williams. I also wish my constituents, and everyone celebrating, Ramadan Mubarak and a happy and peaceful Vaisakhi.

This scandal further exposes the depth of cronyism at the heart of this UK Tory Government—and it is not new, because back in November the National Audit Office expressed concerns about a VIP list of suppliers, with those on the list 10 times more likely to get a contract than those who were not. The Financial Times reports today that £19 billion of covid contracts were awarded without rival bids.

There remain serious questions about the role of Greensill while Mr Cameron was Prime Minister and about who exactly is being afforded similar influence in the UK Government today. It is absolutely galling that some have hoovered up so much Government support while millions who do not happen to have ministerial phone numbers get absolutely nothing at all.

Will the Prime Minister, the Chancellor and Secretary of State for Health and Social Care come before the House to explain their actions? How can we have confidence in the inquiry that has been announced when, from the Home Secretary’s bullying to the race equality report, this UK Government have such a woeful record on marking their own homework?

I agree with what many speakers have said about hospitality. While this is a debate about hospitality, I see it very much in my constituency as a very interconnected ecosystem, because without live events and shopping in the city centre, people are not going to come in to spend money in the hospitality sector. There is no pre-theatre meal if people are not going to the theatre, and there will not be the drinks afterwards and the taxi home. Without people coming in for weddings, for example, there are fewer hotel stays and, without the huge conferences and events that Glasgow hosts, the hotel sector is struggling massively.

The wedding sector is huge, particularly in the Asian community in Glasgow. If people have not had the pleasure of attending an Asian wedding in Glasgow, perhaps they have watched the show, “Getting Hitched Asian Style”, on BBC Scotland, and I would certainly recommend it. These are incredibly glamorous and expensive events to put on, and I really feel for Saffron Events and others like it that have tried to diversify in lockdown but which are not able to put on the tremendously elaborate weddings that they usually would. I very much hope that they will be back doing what they love very soon.

It has been incredibly difficult for many of the venues in the city centre that rely on the passing trade of the SSE Hydro. All the restaurants in Finnieston had been booming since the Hydro came to town, and without that, it is much more of a struggle, even when the sector does diversify. Without venues operating such as the Barrowlands, King Tut’s, the King’s theatre, the Pavilion theatre, and all the other theatres and venues within the city centre, the other things that we enjoy very much in our city become much more difficult to sustain.

I urge the Government very much to take on board the errors that they made over the past year. They locked down too late and unlocked too early. The furlough dithering towards the autumn last year cost jobs in the sector—jobs that young people relied on and now cannot get. I ask the Government to look very carefully at extending the 5% VAT reduction for the rest of the year at the very least, as people have not benefited from that, because nobody has been able to go out to restaurants, or to spend money at events, which also had the 5% cut, or on their hair, beauty and at salons, which would also like to see that 5% cut extended to their sector, which again brings many people into Glasgow city centre. We are looking at a sector that has become heavily indebted and dependent on the furlough scheme, and when that goes, the Government will have to think carefully about how it is supported for the rest of the year. It has been the most difficult year for a sector that demands so much of our public joy. I feel very sorry for everybody within that sector, but it is an ecosystem and the Government need to consider it as such. No business stands alone.

I am overwhelmed by a sense of déjà vu, with the Labour Front Bench getting more grief than the Treasury Front Bench, as back in the day. I am also overwhelmed with a sense of déjà vu because I feel a great sense of this Government being in the same place—in my heart, in my mind—as the European Commission once was. Back in the days when we were not little Britain, I remember feeling enormous frustration and anger with the European Commission when it would do stupid things, in particular with agriculture, playing into the hands of separatists who only wanted the end of our relationship with the European Union.

I feel exactly the same about this Government now playing into the hands of my friends and colleagues around me on the SNP Benches—to whom this is music to their ears—by undermining the Union and being cloth-eared in the process. The Minister has had every chance to accept Lords amendments and to do what he can to stand behind the integrity of the Union and of the devolution settlement.

I have another great concern. I mentioned agriculture a minute ago, and what is critical in the race to the bottom that is built into the Bill when it comes to standards of farming, animal welfare and the environment is something that is not restricted to the Bill alone; it is something that the Government are repeating in other areas of their approach. We have seen the failure of the Government to accept proposals from my party and others that the high standards of British animal welfare and our environmental standards should be written into all new trade deals, but those were refused at every turn—clearly preparing the way to sell out farmers in all corners of the United Kingdom at the first chance the Government get in any trade deal.

At the same time, although most of us in this House agree with the Government’s direction in terms of the English changes to farm payments—from basic payments to the environmental land management scheme—the plan has been to underfund the scheme and to bodge it, getting rid of the basic payments before the new payments are in place, therefore killing off English family farms, which are the unit that allows us to have high-quality animal welfare and environmental standards. All those things together paint a picture of a Government who have lost touch with the countryside and with agriculture, and are prepared to set out a range of policies—almost a manifesto, a catalogue, of attacks on British farming—that undermine our standards, animal welfare and the quality of our produce, and to sell our farmers down the river.

I am proud of the quality of British farming, throughout these islands, and I want the standards that are the highest in any nation to be the highest across all four. I would love the Government to learn from the mistakes of the European Commission—not to play into the hands of separatists, but to make sure that they defend our Union and the devolution settlement.

We are clear on the SNP Benches that Scotland does not want this Bill and that it overrides powers within the Scotland Act 1998. The explanatory notes state:

“The Bill’s provisions replace the existing limits on the effect of legislation made in exercise of devolved legislative or executive competence”.

The Bill is clear about taking new powers.

We know that divergence will not be tolerated, because it is not tolerated currently. In immigration policy, Scotland has been refused any degree of control. On the control and sale of fireworks, we have been ignored in our request to regulate fireworks. In the treatment of drug law, an area close to my heart and that of my constituents, despite crying out for years in the face of a drugs-death crisis—a crisis which last year saw 1,264 souls lost—the UK Government say that Scotland will not be permitted, not allowed, not trusted to take further action to prevent the deaths of our citizens. Scotland accepts responsibility in the areas where we can act, and we know we must do more, but we do it with our hands tied behind our back. I do not trust this Government to behave any differently when they grasp with grubby hands Scotland’s powers over economic development and infrastructure, such as our water supply, our transport, our health or our education. The only way to protect the powers of our own Parliament is for Scotland to vote for independence.

I thank my hon. Friend—his experience will be valuable, and I would be happy to join him at the APPG. It is important not just to consider the immediacy of this, but the fact that with the new normal there is a new reality—a behaviour change that is baked into people’s approach to the high street. It is important to get right that long-term strategic view.

I am deeply concerned by the situation facing Debenhams, which is a key part of Glasgow city centre, as well as the stores operated by Arcadia. My thoughts are with the staff, and I know that the Scottish Government stand ready with a pay scheme if it is required. Has the Minister established whether HMRC’s Crown preference rules, which came into force yesterday, had any bearing on the decision by Arcadia to go into administration on Monday? Has he calculated how much HMRC stands to lose as a result?

My hon. Friend has campaigned long and hard on these issues, as have several others in the House. He will know that the Government’s overarching aim is to ensure fair and equal treatment for Travellers and their children, but we must not be blind to the rights of the settled community as well. The distress that some local communities face due to antisocial behaviour is unacceptable. Local authorities have a wide range of powers at their disposal, including the Anti-Social Behaviour, Crime and Policing Act 2014, but I can confirm to him that I will happily consider his and other proposals as we work through the contributions to the White Paper consultation, to ensure that our planning reform also encapsulates the concerns he raises.

I would like to take this opportunity once again to thank our local councils and councillors across the country for their resilience and hard work in this period of new national restrictions. We are providing more than £7 billion of funding directly to councils alongside our sales, fees and charges scheme, which we expect to also be worth well in excess of £1 billion this year. When it comes to the role that councils have played in protecting the most vulnerable in society—rough sleepers—their work has truly been world class. Last week, I announced the launch of the Protect programme, the next phase in our strategy, which has been widely praised as one of the most successful of its kind anywhere in the world. I thank local councillors in advance for the work they will do in the weeks to come. The Prime Minister and I have been clear that, despite the challenges we face, our mission to deliver the housing our country needs continues at pace. We have kept the market open in order to protect house building and ensure that we protect the millions of jobs that depend upon it.

We do not have the leasehold system in Scotland, yet as a result of rules drawn up with the English leasehold system in mind, each individual owner must get their own EWS1 assessment carried out. How does the Secretary of State intend to resolve this costly and bureaucratic system, which is clearly not fit for purpose in Scotland and which is causing such difficulty to my constituents affected by the ongoing cladding scandal? Will he arrange a socially distant meeting with me to discuss this further?

I would be very happy to meet the hon. Lady. The noble Lord Greenhalgh, the building safety Minister, and I have been meeting lenders and UK Finance to discuss the EWS1 form and to urge them to take a more proportionate, risk-based approach. The EWS1 form was, as we heard earlier, designed for those buildings over 18 metres with external wall systems. It is now being used for buildings below 18 metres and buildings without any cladding at all. That is causing misery to thousands of people across the country, and it needs to change.
